ANNUAL CORPORATOR MEETING MINUTES
NOVEMBER 2, 2023

Chair David Kalla called the meeting to order at 4:40 p.m. after welcoming all Corporators,
Elya Anor, NFA Student Advisory Board President, read the Motion of 1975.
1. a. Motion by Mr. Postler, seconded by Mr. Joyner, to approve the minutes of the November 3, 2022 Annual Meeting of the Corporators. Motion carried.
2. a. Corporators to elect new corporators:

c. Corporators to elect and renew Trustees of Norwich Free Academy:

Motion by Mr. Joyner, seconded by Mr. Brown, to add new Corporators, to renew terms of existing Corporators and to elect and renew Trustees of Norwich Free Academy. Motion carried.
3. Corporation Reports:
a. The Corporators received reports from the following:
1. Head of School Report—Nathan D. Quesnel, Ed.D.
Dr. Quesnel welcomed everyone and thanked the Corporators, the Board of Trustees and the Foundation for their partnership, generosity and most importantly, their unwavering support and commitment to NFA. He also thanked his Senior Administrative team for all they have done and continue to do in support of NFA. He read the mission statement and then went on to brief the Corporators on the following key topics:

- Talented and Committed NFA Community
- Endless Opportunity
- Structural Focus
- Current Status:
- 2024 School Improvement Plan
- NEASC
- Master Agreement
- Open Invitation
2. Norwich Free Academy Foundation—M. Tramontozzi
Dr. Tramontozzi reported on the activity of the Foundation during 2022-23. The Foundation’s objective is to raise funds to support an independently governed, privately endowed NFA.
Dr. Tramontozzi thanked Head of School Nathan Quesnel, Chairman of the Board David Kalla, Executive Director of Institutional Advancement Kathy McCarthy and her team, Foundation Board of Directors and those who have volunteered their services to the Foundation.
3. Investment Report—K. McCarthy
Mrs. McCarthy shared information on giving, the endowment and the impact philanthropy has for our students, faculty and campus community. She then addressed the specifics of the Foundation’s endowment and investments for 2022-23.
4. Other Business
With there being no other business, Dr. Kalla recognized a Corporator reaching the status of Honorary: John Mathieu. He further stated that to signify a Corporator attaining the status of Honorary Corporator as well as years of service, it is a tradition at NFA to present those individuals with an engraved pewter plate. (As Mr. Mathieu was not present, his plate will be sent to him.) Dr. Kalla also stated that it is also tradition to recognize and present those individuals who are coming off the Board of Trustees and the Foundation Board with a gift. This year two individuals are being honored; Sarette Williams and Keith Fontaine. He stated that they have been absolute pillars of service to the corporation and that he is grateful for their service, support and absolute commitment to this great institution.
7. Adjournment
Motion by Ms. Hayes, seconded by Mr. Postler to adjourn the meeting at 5:17 p.m. Motion carried.
